Engagements are governed by a separately executed Master Services Agreement (MSA), Statement of Work (SOW), and — where applicable — a HIPAA Business Associate Agreement (BAA). Clients engaging VLMS services agree to provide accurate and complete information, cooperate reasonably with VLMS staff, maintain their own compliance obligations, and honor invoices in accordance with the applicable SOW. Clients remain the custodians of record for their patients and members and retain all regulatory responsibilities not expressly delegated to VLMS.
Each party agrees to protect the other party's confidential information with at least the same degree of care it uses to protect its own confidential information of similar importance, and in no event less than reasonable care. PHI is handled exclusively under the applicable BAA.
The website and its content are provided "as is" and "as available" without warranties of any kind, whether express or implied. VLMS disclaims all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.
To the maximum extent permitted by law, VLMS shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the website. For services provided under a signed agreement, liability is governed by the terms of that agreement.
You agree to indemnify, defend, and hold harmless VLMS and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your breach of these Terms or your violation of any law or third-party rights.
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. Any disputes shall be resolved exclusively in the state or federal courts located in Delaware, unless a separately executed agreement specifies otherwise.
VLMS reserves the right to modify these Terms at any time. Changes take effect when posted to the website. Your continued use of the website after changes are posted constitutes your acceptance of the revised Terms.
